TERMS & CONDITIONS

These Terms & Conditions apply to business setup, market-entry consultancy, licensing support, investment facilitation, corporate advisory, compliance coordination, and related services provided by Horizon Setup (“Horizon”, “we”, “us”, or “our”). By approving a proposal, quotation, scope of work, or instructing Horizon to begin providing services, the client agrees to these Terms.

1. Scope of Services

Horizon supports local and international businesses entering, establishing, or expanding their operations in the Kingdom of Saudi Arabia. Services may include company setup and incorporation support; licensing and registration assistance; market-entry advisory; corporate structuring; joint venture support; investment facilitation; compliance coordination; government and regulatory process support; and business and corporate advisory. The exact services, deliverables, timeline, and fees will be defined in the approved proposal or scope of work. Any services outside the agreed scope may require additional fees and timelines.

2. Client Responsibilities

The client is responsible for providing accurate and complete information, documents, approvals, authorizations, and supporting materials required to perform the services. The client must ensure that all documents and information submitted to Horizon are valid, accurate, and legally authorized. Delays in providing required documents, information, approvals, signatures, or payments may affect the project timeline.

3. Timelines & Government Approvals

Horizon will use reasonable efforts to meet the estimated timelines stated in the applicable proposal. However, certain services depend on government authorities, regulators, banks, ministries, licensing bodies, and other third parties. Horizon cannot guarantee the timing or approval of applications, registrations, licenses, permits, visas, or other government processes. Timelines may change due to regulatory requirements, government processing times, client delays, or requests for additional documentation.

4. Fees & Payment

Fees and payment schedules will be stated in the approved proposal or quotation. Horizon may require advance payment before beginning work or submitting applications on behalf of the client. Government fees, licensing fees, registration charges, translations, attestations, legal fees, bank charges, and other third-party expenses are separate from Horizon’s professional fees unless specifically stated otherwise. Horizon may suspend services where payments become overdue.

5. Government & Third-Party Services

Horizon may coordinate with government authorities and third-party providers to deliver the agreed services. These may include ministries and government authorities; licensing and registration bodies; legal consultants; accountants and auditors; banks; translation and attestation providers; business service providers; and technology platforms. Such organizations operate independently and may have their own requirements, fees, processing times, and policies. Horizon is not responsible for delays, rejections, policy changes, or decisions made independently by these organizations.

6. Advisory Services

Horizon provides professional business and market-entry guidance based on the information available at the time. Business regulations, investment requirements, licensing rules, and government procedures may change. Unless specifically stated otherwise, Horizon’s services do not replace independent legal, tax, accounting, or financial advice. Clients should obtain specialist professional advice where required.

7. Confidentiality & Data

Both Horizon and the client agree to reasonably protect confidential information shared during the engagement. Horizon may process company documents, personal information, identification documents, contact details, and other information required to provide the agreed services. Such information will only be used where reasonably necessary to perform the services, meet legal requirements, or support the client’s applications and business activities.

8. Intellectual Property

The client retains ownership of documents, trademarks, information, and materials supplied to Horizon. Horizon retains ownership of its internal methodologies, templates, processes, research, frameworks, documentation, and other pre-existing intellectual property. Final deliverables specifically created for the client may be used by the client once all applicable fees have been paid, subject to any third-party rights or restrictions.

9. Cancellation

If the client cancels an engagement after work has started, the client remains responsible for completed work and any government, supplier, professional, or third-party costs already committed. Fees already paid to government bodies or third parties may be non-refundable. Horizon may suspend or terminate services in cases of non-payment, inaccurate information, unlawful instructions, material breach, or repeated failure to provide required cooperation.

10. Liability

Horizon will provide its services with reasonable professional skill and care. However, Horizon cannot guarantee government approvals, licensing approvals, investment approvals, banking approvals, visa approvals, specific business outcomes, or regulatory timelines. To the maximum extent permitted by applicable law, Horizon will not be responsible for indirect or consequential losses arising from government decisions, third-party actions, regulatory changes, or information incorrectly supplied by the client. Unless otherwise agreed in writing, Horizon’s total liability relating to an engagement will not exceed the professional fees paid or payable to Horizon for the services directly related to the claim.

11. Governing Law

These Terms are governed by the applicable laws and regulations of the Kingdom of Saudi Arabia, unless another written agreement states otherwise. If a signed proposal, agreement, or scope of work conflicts with these general Terms, the signed project-specific agreement will take priority.
